Hello! We are hashtaghiring to expand our Governance, Business Integrity, and Closures team at 3one4 Capital. As we continue to expand our portfolio, we are seeking a talented and driven legal analyst to join our team.
Location: Bengaluru, on-site
Key Responsibilities:
– Due Diligence: Laise with external advisors in conducting legal due diligence on potential investment opportunities.
– Legal Documentation: Draft and review legal agreements, term sheets, investment agreement, and other legal documents related to investments and transactions.
– Compliance Management: Stay abreast of relevant laws, regulations, and industry standards impacting investments and portfolio. Ensure compliance with legal requirements and assist on risk management strategies.
– Portfolio Support: Provide ongoing legal support to portfolio companies, including corporate governance matters, shareholder agreements, employment contracts, and regulatory filings.
– Negotiation and Communication: Participate in negotiations with founders, investors, and external legal counsel. Communicate legal implications and risks effectively to internal stakeholders.
– Legal Research: Conduct research on legal issues affecting the venture capital landscape, portfolio companies, emerging trends, and best practices. Prepare memos and reports to inform decision-making processes.
Qualifications:
– Bachelor’s degree in Law (LLB) from a reputable institution. Admission to the bar is required.
– 2-4 years of experience in corporate law, venture capital, or a related field. Previous experience in a law firm or in-house legal department in VC is preferred.
– Strong understanding of corporate and commercial law, securities regulations, and VC financing structures.
– Excellent drafting skills with attention to detail and accuracy.
– Ability to work collaboratively in a fast-paced environment and manage multiple priorities effectively.
– Exceptional communication and interpersonal skills, with the ability to build rapport with diverse stakeholders.
