JOB DESCRIPTION: 
Speciale Invest is seeking a brilliant Legal Associate to join its investing team. This is an exciting opportunity to work with an award-winning, top-tier deep tech Venture Capital fund in India. As a Legal Associate at a Venture Capital (VC) firm, your primary responsibility is to provide legal support and guidance to the firm’s investment activities and overall operations. You will work closely with the legal team, investment professionals, and other stakeholders to ensure compliance with relevant laws, regulations, and contractual obligations. Your role will handle various legal matters related to investments, portfolio companies, and general corporate affairs.

KEY ROLES AND RESPONSIBILITIES:

  • Investment Due Diligence: Conduct legal, due diligence for potential investment opportunities. This involves reviewing legal documents, contracts, intellectual property rights, regulatory compliance, and other legal aspects of target companies.
  • Contract Review and Negotiation: Review and negotiate various agreements, including investment term sheets, shareholder agreements, convertible notes, and other legal contracts related to VC investments.
  • Investment Structuring: Collaborate with investment professionals to assist in structuring investment deals in a legally sound manner while aligning with the firm’s investment strategy.
  • Internal Legal Support: Provide legal advice and support to internal teams, such as finance, compliance, and HR, on various legal matters impacting the firm’s operations.
  • External Counsel Management: Engage and manage relationships with external law firms when necessary to address complex legal matters or specialised areas of law.
  • Contract Management: Maintain a robust contract management system to track legal documents, deadlines, and obligations.

QUALIFICATIONS AND SKILLS:

  • A LLB/LLM degree from an accredited law school admitted to practice law in the relevant jurisdiction.
  • Prior experience in a law firm, corporate legal department, or VC/PE firm with exposure to venture capital and private equity transactions is preferred.
  • Strong understanding of corporate and securities law, contract law, and relevant regulatory frameworks.
  • Excellent analytical and problem-solving skills, with the ability to spot potential legal issues and propose appropriate solutions.
  • Attention to detail and the ability to work effectively under tight deadlines.
  • Strong communication skills, both written and verbal, to interact with internal teams, external counsel, and portfolio companies.
  • Ability to work collaboratively as part of a team and independently when required.
  • Knowledge of the startup ecosystem and technology industry is advantageous.
