AVP – Compliance

The role involves effective handling of the Group’s Compliance, Legal and Regulatory Risk issues by taking complete responsibility and leadership.

SECRETARIAL:

– Oversee and manage all statutory filing with the ministry of corporate affairs and other regulatory authorities in a timely manner.

– Conduct Board Meeting / AGM /EGM and compliance under the Companies Act.

– Liaison with the registrar of companies, banks, auditors and other statutory authorities as required.

– Handle pre & post Board Meeting / AGM /EGM Compliance, oversee draft of agenda, resolution, and minutes.

– Handle all secretarial functions of the Group.

– Manage stakeholder’s interaction regarding meeting scheduling and other related matters.

– Keep oneself abreast with amendments in applicable laws and keeping the team and management updated about it.

COMPLIANCE:

– Deal with regulators like ROC, RBI, SEBI, PF, PT, ESIC, DIPB, etc.

– Ensure compliance with SEBI and RBI Guidelines.

– Oversee and manage compliance with all applicable laws including employee and establishment compliance.

– Critically analyse the impact of any new regulatory/policy changes on the company/group and provide advice and counsel as required.

– Liaison with internal departments on risk-related issues, legislation, rules, and regulations.

LEGAL:

– Provide regular and timely feedback and be proactive in the identification and resolution of issues that may have an impact on the Group’s finances/reputation.

– Handle drafting and filing of representations with appropriate statutory and regulatory authorities and work with the stakeholders/team members to ensure accuracy of filings.

– Manage legal vetting, drafting and negotiating all type of contracts, agreements, etc.

– Review and evaluate the organization’s policies, procedures, and programs to ensure compliance with applicable laws and regulations and make recommendations for change.

– Work closely with other group and portfolio companies needing legal guidance and support.

Skills:

– Solid experience in regulatory field with relevant experience in an operating company.

– Strong understanding of the regulatory environment.

– Good judgment enabling the provision of sound advice in areas of law, regulation and practice, and proactive management of compliance and regulatory risk.

– Excellent interpersonal skills, and multi-cultural awareness.

– High on accountability with strong integrity.

– Proven ability to establish relationships and exert influence at senior levels and with regulators and other external stakeholders.

– Good communication and presentation skills.
